These Terms and Conditions constitute a legally binding agreement between you and Sundial Games. By accessing our website or using our services, you accept these terms in full. If you disagree with any part of these terms, you must discontinue use of our services immediately.

4. Liability Limitations and Disclaimers
4.1 Disclaimer of Warranties
Our website and services are provided "as is" and "as available" without any representations or warranties of any kind, whether express or implied. Sundial Games makes no warranty that the services will meet your requirements or be available on an uninterrupted, secure, or error-free basis.
4.2 Limitation of Liability
To the fullest extent permitted by law, Sundial Games shall not be liable for:

4.3 Maximum Liability
In no event shall our total liability to you for all damages exceed the amount paid by you to Sundial Games in the twelve months preceding the claim, or one hundred USD if no payment has been made.
4.4 Exclusion of Consequential Damages
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.
5. Force Majeure
Sundial Games shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:
- • Acts of God, natural disasters, pandemics, or severe weather
- • War, terrorism, riots, or civil unrest
- • Government actions, laws, or regulations
- • Internet service provider failures or cyber attacks
- • Labor disputes, strikes, or lockouts
- • Supplier or contractor failures
6. Privacy and Data Protection
Your use of our services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By accepting these Terms and Conditions, you also acknowledge that you have read and understood our Privacy Policy.

7. Governing Law and Jurisdiction
7.1 Applicable Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Netherlands, without giving effect to any principles of conflicts of law. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.
7.2 Jurisdiction
You agree that any legal action or proceeding arising out of or relating to these terms shall be brought exclusively in the courts of Amsterdam, Netherlands. You consent to the personal jurisdiction of such courts and waive any objection to venue.
8. Dispute Resolution
8.1 Informal Resolution
Before initiating any formal dispute resolution process, you agree to first contact us to attempt to resolve the dispute informally. We commit to working in good faith to resolve any disagreements.
8.2 Mediation
If informal resolution is unsuccessful, the parties agree to attempt mediation before a neutral mediator in Amsterdam, Netherlands. The costs of mediation shall be shared equally unless otherwise agreed.
8.3 Arbitration
If mediation fails, disputes shall be resolved through binding arbitration administered by the Netherlands Arbitration Institute. The arbitration shall be conducted in English in Amsterdam, Netherlands. The arbitrator's decision shall be final and binding.
9. Severability Clause
If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, the provision shall be severed from these terms, and the remaining provisions shall continue in full force and effect.
10. Waiver
No waiver by Sundial Games of any term or condition set forth in these Terms and Conditions shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure to assert a right or provision under these terms shall not constitute a waiver of such right or provision.
11. Assignment
You may not assign or transfer these Terms and Conditions or any rights or obligations hereunder without our prior written consent. Sundial Games may freely assign or transfer these terms and any rights or obligations hereunder, including in connection with a merger, acquisition, or sale of assets.
12. Modifications to Terms
We reserve the right to modify these Terms and Conditions at any time. We will provide notice of material changes by:

- • Sending an email notification to registered users
- • Updating the "Last updated" date at the top of this page
Your continued use of our services after modifications become effective constitutes acceptance of the updated terms. If you do not agree to the modified terms, you must discontinue use of our services.
13. Entire Agreement
These Terms and Conditions, together with our Privacy Policy, Cookie Policy, and any other legal notices or agreements referenced herein, constitute the entire agreement between you and Sundial Games regarding the use of our services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
14. Survival
The provisions of these Terms and Conditions that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, limitations of liability, and dispute resolution provisions.
